1. Scope and acceptance

These Terms & Conditions (“Terms”) govern use of the Programz website. Programz (“we,” “us,” or “our”) is a software development agency based in Wyoming, United States. By using the website, you agree to these Terms to the extent permitted by applicable law. If you do not agree, please stop using the website.

You must be at least 18 years old and able to enter a binding agreement to request services. If you act for a business, you must have authority to do so. Merely visiting the website or sending an inquiry does not create a client relationship, a development contract, or an obligation to purchase services.

2. Services and project agreements

Descriptions of our capabilities are general information, not a binding offer, quote, delivery schedule, or guarantee that a particular technology will be suitable for your project. An engagement begins only when the parties agree to the applicable written project terms.

Those terms should establish, as appropriate:

• The work scope, deliverables, milestones, acceptance criteria, and change process.
• Fees, payment schedules, expenses, and taxes.
• Client dependencies, access requirements, and each party’s responsibilities.
• Ownership and licensing of deliverables, pre-existing materials, and third-party components.
• Confidentiality, data protection, approved AI use, and security-review scope.
• Deployment, handover, warranties, maintenance, and support arrangements.
• Termination rights, remedies, and project-specific liability provisions.

If a signed services agreement conflicts with these website Terms on a project matter, the signed agreement controls. Our human-led testing and security reviews are performed within the agreed scope; no website statement promises error-free software, perfect security, or a specific business result.

3. Acceptable use

You may use the website for lawful informational and business purposes. You must not:

• Interfere with the website, introduce malicious code, overwhelm infrastructure, or attempt unauthorized access.
• Use the website to commit fraud, impersonate others, or send unlawful or abusive communications.
• Collect personal information from the website in violation of applicable law.
• Copy or redistribute protected website materials beyond permitted use, applicable legal exceptions, or our written permission.
• Attempt to exploit vulnerabilities in our systems without prior written authorization.

If you believe you have found a security issue, notify hello@programz.net with enough information to investigate. Do not access, alter, or disclose other people’s data.

4. Website intellectual property

Unless otherwise identified, the Programz name, original logo, website copy, design, illustrations, and code are owned by Programz or used with permission. These Terms give you a limited, non-exclusive permission to view the website and make ordinary browser copies for your own lawful use. They do not transfer ownership or grant a right to use our branding commercially.

Rights in client deliverables are handled by the applicable project agreement. Third-party and open-source components remain subject to their own licenses; they are not represented as exclusively owned by Programz.

5. Inquiries, communications, and confidentiality

Provide accurate contact information and only information you have authority to share. Submitting the website’s form sends your details to Programz for review and follow-up. We store the inquiry and may record internal notes and its outcome. A successful submission acknowledgment confirms receipt, not acceptance of a project or a promise of a particular response time.

An initial inquiry does not, by itself, establish a nondisclosure agreement. Avoid sending credentials, regulated personal data, trade secrets, or other sensitive materials before appropriate safeguards are agreed. We use inquiry information to evaluate and respond to your request, as described in our Privacy Policy. You retain your rights in your materials; sending an inquiry does not transfer ownership or grant a license to publish your project.

6. Third-party tools and services

Your email application and any third-party destinations you choose to visit are operated independently and governed by their own terms and privacy policies. We are not responsible for those providers’ content or operations. Any third-party tools used in a client project, including AI tools and hosting services, are evaluated and addressed within the engagement’s agreed terms.

7. Website availability and disclaimers

We aim to keep this website accurate and useful, but may change its content or availability at any time. To the fullest extent permitted by law, the website is provided “as is” and “as available,” without warranties of uninterrupted availability, accuracy, merchantability, fitness for a particular purpose, or non-infringement.

Website content is general information and is not legal, financial, or other regulated professional advice. This website disclaimer does not remove express commitments in a signed services agreement or rights and warranties that applicable law does not allow us to exclude.

8. Limitation of liability for website use

To the fullest extent permitted by applicable law, Programz is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, data, or business opportunities, arising from use of or inability to use this website.

To the fullest extent permitted by law, our aggregate liability for claims arising solely from use of this free website is limited to US $100. This limit does not apply to liability arising under a separately signed services agreement, which has its own provisions.

Nothing in these Terms excludes liability for fraud, willful misconduct, or any other liability that cannot lawfully be limited, nor does it waive non-waivable consumer protections. If your jurisdiction restricts a disclaimer or limit, that provision applies only to the extent the law permits.

9. Governing law and disputes

These website Terms are governed by the laws of the State of Wyoming, United States, without applying conflict-of-law rules, except where mandatory law requires otherwise. For disputes about these website Terms, the parties submit to the jurisdiction of competent state and federal courts in Wyoming, subject to any mandatory jurisdiction or venue rights.

Please contact us first at hello@programz.net so we can try to resolve a concern in good faith. This does not prevent you from exercising legal rights, meeting a filing deadline, or seeking urgent relief. These Terms do not impose mandatory arbitration or a class-action waiver.

10. Updates, general provisions, and contact

We may revise these Terms and will update the effective date when we do. Changes apply prospectively, subject to any notice or acceptance required by law. They do not automatically amend an existing signed project agreement.

If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. These Terms govern website use together with any notices that expressly apply to that use.
